2020-222, Sept. 24, 2020 —The Securities and Exchange Commission today announced that Chicago-area engine manufacturing company Power Solutions International Inc., has agreed to settle accounting fraud charges related to the company's overstatement of revenues by almost $25 million.

SEC Charges BMW for Disclosing Inaccurate and Misleading Retail Sales Information to Bond Investors
2020-223, Sept. 24, 2020 —The Securities and Exchange Commission today announced settled charges against Germany-based automaker BMW AG and two of its U.S. subsidiaries for disclosing inaccurate and misleading information about BMW’s retail sales volume in the U.S. while raising approximately $18 billion from investors in several corporate bond offerings.

SEC Charges Lighting Products Company and Four Executives With Accounting Violations
220-221, Sept. 24, 2020 — The Securities and Exchange Commission today charged Connecticut-based Revolution Lighting Technologies Inc. for an accounting fraud that falsely inflated its reported revenues over a four-year period. Four Revolution Lighting executives—CEO Robert LaPenta, former CFO James DePalma, and two former CFOs of the firm’s largest division, Allen Garner and Daniel O’Neal— were also charged for their roles in causing Revolution Lighting to misreport its revenue. All have agreed to settlements to resolve the claims against them.

SEC Adopts Amendments to Modernize Shareholder Proposal Rule
2020-220, Sept. 23, 2020 —The Securities and Exchange Commission today voted to adopt amendments to modernize its shareholder proposal rule, which governs the process for a shareholder to have its proposal included in a company’s proxy statement for consideration by all of the company’s shareholders.  The principal requirements for: (1) initial inclusion in the proxy statement — the amount and length of ownership of the proposing shareholder — and (2) for subsequent resubmission if the proposal is not approved — the amount of support from other shareholders — have not been substantively amended since 1998 and 1954, respectively.

SEC Adds Clarity, Efficiency and Transparency to Its Successful Whistleblower Award Program
2020-219, Sept. 23, 2020 — The Securities and Exchange Commission today voted to adopt amendments to the rules governing its whistleblower program that are designed to provide greater clarity to whistleblowers and increase the program’s efficiency and transparency.  Concurrently, to provide additional efficiencies, as well as clarity and transparency in the award determination process, the SEC’s Office of the Whistleblower published guidance regarding the process for determining award amounts for eligible whistleblowers.
